Salon Sessions Terms and Conditions for Exhibitors

  1. Parties
    These General Terms and Conditions for Exhibitors cover the following parties:
    The Exhibitor and
    The Organiser
    Image Skillnet,
    Carrick Business Campus,
    Carrick – on – Shannon, County Leitrim.

  2. Application, registration and order confirmation 

    After receipt and approval of an Exhibitor’s completed application form, the Exhibitor is registered as an Exhibitor at Salon Sessions, an exhibition organized by Image Skillnet. By completing the application form, the Exhibitor declares itself familiar with the objective of the exhibition and agrees to exhibit only those products and/or services which come within the scope of the exhibition.The Organiser’s acceptance of an application represents a binding agreement for the stand space and rent that are specified in the order confirmation from the Organiser.

    It is the responsibility of the Exhibitor to comply with all these Terms and Conditions. The Organiser reserves the right to refuse stand rental or terminate a contract at any time, if the Exhibitor does not comply with the Terms. In the event that the Organiser refuses the Exhibitor’s application, the Organiser shall refund the payments in full, including deposits. Any such cancellation and termination, including refund of payments, shall not affect the terms of cancellation subject to clause 5.

  3. Eligible exhibits 

    Exhibits will be limited to businesses or products approved by the Organiser. An approved Exhibitor may exhibit products, equipment and services. All products, equipment and services must comply with Irish law and regulations.

  4. Stand allocation 

    The Organiser reserves the right to accept or reject any registration form at its sole discretion. The Organiser will allocate stand space to meet the Exhibitor’s request where possible.The Organiser reserves the right to change the stand space allocated to the Exhibitor, and/or to alter the dimensions of the stand space, and/or to transfer or close entrances and exits to the event venue as may be deemed fit. Such changes shall be at the discretion of the Organiser and the owners of the Event Venue (Johnstown House Hotel & Spa), and the Exhibitor will have no claim for compensation as a result of the changes.

    If the Exhibition is abandoned, postponed or altered in any way, in whole or in part, or if the Organiser finds it necessary to alter the dates of the Exhibition, the Organiser will not be liable for any expenditure, loss or damage incurred by the Exhibitor, other than reimbursement of the amounts paid by the Exhibitor in case of cancellation by the Organiser (as in clause 5).

  5. Conditions of payment 

    Payment is to be made in accordance with the conditions of payment on the exhibit application form. The invoice will be issued by Image Skillnet.

  6. Event modifications and cancellationsCancellations by Organiser:The Organizer is authorised to unilaterally cancel the event due to unforeseeable occurrences, omissions or accidents (e.g. official measures, industrial disputes, force majeure etc.). Where the Event is cancelled, the Organiser shall reimburse all amounts paid by the Exhibitor to the Organizer under these terms. This will be the sole and exclusive right and remedy of the Exhibitor in this respect. The Organiser may cancel the event at any time by simple notification to the Exhibitor.

    Cancellations by Exhibitors:
    The Exhibitor may cancel its stand space reservations at any time by written notice to the Organiser. The Organiser will refund payments based on the criteria listed below:
    – Cancellation more than 45 days prior to event start date: 100 % refund
    – Cancellation between 45 and 30 days prior to event start date: 75 % refund
    – Cancellation between 29 and 21 days prior to event start date: 50 % refund
    – Cancellation less than 19 days prior to event start date: No refund

    Non-refundable fees, in accordance with the conditions of payment on the exhibit application form, will be withheld to cover administrative costs. Exhibitors are responsible for cancelling any other reservation (e.g. hotel reservations) made in connection with the event. The Organiser retains the right to resell any stand space cancelled by the exhibitor.

  7. Stand space and activities 

    All stands must be set up and ready at least 60 minutes prior to the opening of the event. Exhibitors are obliged to ensure that the space rented to them is kept clean and free from hazards, in accordance with safety regulations.The Exhibitor is obliged to observe the schedules set out in the Exhibitors Manual for the construction and dismantling of the stand. The space allocated to the Exhibitor may not be exceeded in either height or any other dimensions.

    Any stand space not occupied at the start of the event will be considered a no-show, and the space will be forfeited by the Exhibitor. The forfeited space may be resold or used by the Organiser without obligation for any refund whatsoever unless arrangements for delayed occupancy have been made.

    The Exhibitor shall not be authorised to share, sub-let or assign the stand to any other company or to entrust it to other parties in any other way.

    The Exhibitor shall only be allowed to display and distribute advertising material and to address visitors within its own stand space. Aisles should not be obstructed in any way.

    The Exhibitor is responsible for the supervision of its stand and belongings, which are brought to the event venue at its own risk. The Organiser cannot accept liability for loss, damage or injury sustained or occasioned from any cause whatsoever.

    Activities at and operations of the stand shall be carried out in such a way that no nuisance will be caused to the event as such or to neighbouring stands. In cases to the contrary, the organizer shall be authorised to exclude the Exhibitor from the event. In the event of exclusion, the Organiser will not refund any payments.

    All exhibition items must be removed from the event venue/exhibition area after the closing of the exhibition on the date and time specified by the Organiser. If the Exhibitor fails to remove the items by the specified time and date specified, the Organiser is entitled to remove the items at the Exhibitor’s own risk and cost.

  8. Fire safety regulations 

    Exhibitors must abide in full with the regulations of the event venue and must follow the guidance given by any representative of the event venue.

  9. Liability and limitation of liability 

    The Exhibitor agrees to indemnify the Organiser, its employee(s), agent(s) or any third party for any damages to property, losses, injury or expenses of whatever nature, caused by it, its Partner(s), or their respective Participants or by its sub-contractors.The Organiser shall only be liable for damage or loss to the Exhibitor if the damage or loss is caused by fault, negligence, gross negligence or willful misconduct in the performance of its obligations under these Terms. The Organiser is not responsible for the Exhibitor’s indirect losses, including but not limited to loss of profits, loss of goodwill, loss of profits, etc.

    The Exhibitor is liable for any damage including loss of or damage to goods caused either by it or by any of their assistants to the event venue. The Exhibitor is also liable for any other damage arising from the Exhibitor’s failure to supervise the space rented by them.

  10. ComplaintsExhibitors’ complaints in relation to the events and these Terms and Conditions should be made in writing and sent to the Organiser without delay and not later than 30 days from the date of the event.
  11. Insurance 

    The Organiser will bear no insurance risk on behalf of the Exhibitor. The Exhibitor is explicitly urged to make use of its own possibilities of insurance. The Organiser assumes that Exhibitors are adequately insured.Further, Exhibitors are encouraged to make security arrangements for sensitive or valuable items. The organizer will bear no responsibility for the property of Exhibitors.

  12. Visitors and staff 

    If no other agreement has been made, admission will only be available to registered visitors and staff of at least 18 years of age. Proof of age may be required.The Organizer shall not be liable to any visitor for damages they may have suffered due to the behaviour of an Exhibitor or staff employed by an Exhibitor. In particular, the Exhibitor and its staff cannot be considered as vicarious agents of the Organiser.

  13. Photographs and Video 

    The Exhibitor may photograph or videotape its own promotional events and materials at its own stand space at its own discretion but subject to all applicable laws, in particular but not limited to any and all personal data protection regulations. All other photography and videotaping are strictly prohibited. The Exhibitor shall ensure that their staff members, agents, sub-contractors, as well as any Participants are informed about and do not object to their image being used for these purposes. Any photography or videotaping outside of the Exhibitor’s stand space must be performed by the Organiser’s official show photographer and videographer.The Organiser, the official show photographer and the accredited Press are exempted from this rule. The Organiser reserves the right to photograph and videotape all events and participants and to use such photographs and videos in any internal and external communication referring to the event or to the Organiser’s services and products, such as on its websites, newsletters, Exhibition Guide, and in its annual reports as well as on social media channels such as Twitter, Facebook, Instagram or YouTube.

  14. Intellectual property 

    The Exhibitor acknowledges that the Organiser reserves the right to use any intellectual property and data provided by the Exhibitor via the Organiser’s Event Booking Form (such as the Exhibitor name and logo, bio and social media handle) for the purpose of providing promotional material (including digital) and that the provision of such data as requested by the Organiser on Registration forms part of these terms and conditions.

  15. Data protection 

    The Exhibitor acknowledges and agrees that the Organiser reserves the right to process personal data relating to the Exhibitor’s staff members, agents or contractors, such as contact details and photographs, Video’s for purposes relating to current and future registration, administration, security management, accounting, records keeping, offering of related products and services and conducting surveys, and more generally, for the performance of its obligations and the enjoyment of its rights and remedies.The Exhibitor acknowledges and agrees that, where the Organiser sub-contracts these tasks to an external supplier, this may involve the transfer of such data to non-EU Member States.

    Where such data is collected and supplied to the Organiser by or for the Exhibitor, the Exhibitor shall ensure this is done in accordance with all applicable laws and regulations and without infringing any third-party rights.

  16. Amendment of terms and conditions 

    The Organiser reserves the right to amend these terms and conditions at any time. All amendments shall be binding on the Exhibitor with the provision that the Exhibitor is advised of any such amendment. Any matters not specifically covered herein are subject to decision by the Organiser.

  17. Intellectual property rights
    The Organizer maintains all intellectual property and marketing rights regarding the exhibition, including websites, logos, company names etc.No other than the Organiser is legally allowed to make commercial use hereof unless consent is given by the Organiser.
  18. Data protectionAll data regarding natural persons are processed in accordance with our Privacy Policy.
  19. SeverabilityIf one or more provisions of these Terms and Conditions are found invalid this shall not affect the rest of the provisions’ validity.
  20. Entire agreement and discrepancies 

    The Terms and Conditions and any document referred to in these conduct the entire agreement between the Exhibitor and the Organiser.The Terms and Conditions prevail in case of any discrepancies between these and other agreements between the Parties.

  21. Governing law and jurisdiction:The Terms and Conditions are subject to Irish law. Any dispute arising in connection with The Terms and Conditions, including disputes concerning the Terms and Conditions’ existence or validity shall be settled by the courts in Ireland.
